These general terms and conditions of sale define the rights and obligations of the parties in connection with the sale of products offered by LBM Distribution to distributors, resellers, retailers, and other similar companies.
Any purchase of products from LBM Distribution, whether by mail order or via the online sales site www.lbm-distribution.com, requires consultation and acceptance without reservation of these general terms and conditions of sale.
The buyers declare that they have obtained from LBM Distribution all the necessary information regarding the products and services offered and accept without reservation these general conditions of sale. In the event of general terms and conditions of purchase proposed by the buyer, the general terms and conditions of sale of LBM Distribution take precedence over them.
LBM Distribution reserves the right to modify these general terms and conditions of sale at any time.
If a closure of these general terms and conditions of sale is recognised as ineffective, the other closures shall remain automatically in force.

Terms and conditions of sale:
Order: LBM Distribution will treat each order for products or services from professionals engaged in the resale and installation of audiovisual products as a request by the buyer to purchase the products in accordance with the terms of these general conditions of sale subject to acceptance or refusal of such a request by LBM Distribution.
Any new LBM distribution customer must, before any order is placed, register by submitting a request for a customer account opening form to the LBM distribution sales department and return the completed form accompanied by the required documents (complete contact details, RIB, a K-Bis extract, SIREN number and APE code.)
Registration of orders: Any order can only be considered as validated upon receipt of an order acknowledgement issued by LBM distribution which will summarize the prices, delivery costs and payment conditions.
The unavailability of a product due to a stock shortage or its removal from the catalogue will not result in any cancellation of the global order and will not entitle LBM Distribution to any compensation. The same applies in the event of a partial stock shortage.
Rates:
Products are supplied at the price fixed on the basis of the price list in force at the time the quotation is drawn up. Our prices are ex warehouse, excluding transport costs and VAT, which will be invoiced in addition. Prices are subject to change without notice. The prices indicated in price lists, on the website, in catalogues or advertisements, do not constitute an estimate.
Terms and conditions of delivery:
Delivery takes effect upon receipt of the products by the customer at the delivery address specified on the order form. The delivery times indicated by LBM Distribution are given as an indication, no compensation or penalty for delay may be required by the customer in the event of non-compliance with these deadlines, and no order may be cancelled without the prior agreement of LBM Distribution.
Complaints about the characteristics, quantity or non-conformity of the goods delivered with the consignment note must be made in writing within three days of receipt of the goods, without prejudice to the arrangements to be made with the carrier.
Our goods delivered by carriers, travel at the risk and peril of the recipient. It is the responsibility of the LBM Distribution customer to check the quantity and condition of the packages and to take any necessary reservations from the delivery person. Shipment by our carrier Chronopost includes compensation insurance for loss or damage up to a maximum of 250 € per package. It is the customer's responsibility, if he so wishes, to take out additional insurance with LBM Distribution.
Warranty conditions:
The products marketed by LBM Distribution are covered by the manufacturer's warranty period. These periods, which vary according to the equipment concerned, will be communicated to any customer who so requests. Any opening of the product terminates the warranty.
The products therefore benefit from a return guarantee from the LBM Distribution workshop, 26 Cours de Chazelles - 56100 Lorient - France. Any return must first be the subject of a return request filled in and validated in return by LBM Distribution's technical service at sav@lbm-distribution.com
The unavailability of products during their repair time does not give rise to any compensation of any kind whatsoever.
Shipping costs :
For Continental France + Monaco: 25 € H.T. - Free of charge from 600 € H.T. - Delivery in 48/72H by GLS
For delivery in 24H by Chronopost 13h, surcharge of 12 € excluding tax regardless of the amount of the order.
For other destinations: on estimate according to weight, volume and amount of the order.
Payment conditions:
Time limits and means of payment
: The first order will be paid in cash. Invoices are payable before delivery or upon collection, by bank transfer. Customers who have obtained a credit authorization from LBM Distribution will benefit from the payment period, which is by default 30 days.
For any direct order on the e-commerce site, payment is only possible by credit card.
Late payment:
In the event of non-payment of the invoice within the specified period, late payment penalties are due without prior notice. The rate of these penalties is 15%. A fixed indemnity of 40 Euros excluding VAT will be required from the first day of late payment for recovery costs (Art. L441-6 of the French Commercial Code).
Retention of title:
LBM Distribution remains the owner of the delivered goods from the day of delivery until full payment of the full sale price, the risks of the goods nevertheless falling to the recipient, as soon as they are made available. The delivery of drafts or any securities creating an obligation to pay does not constitute payments. Consequently, in the event of non-payment, LBM Distribution is entitled to take back the goods or have them taken back at the expense of the recipient. This clause is an integral part of our general terms and conditions of sale.
Various authorizations and responsibilities:
The documentation, manuals, projects, plans and software prepared by LBM Distribution are and remain the exclusive property of LBM Distribution. The customer shall refrain from reproducing these elements, unless otherwise agreed by LBM Distribution.
The contractual commitments established between our customers and theirs, do not bind LBM Distribution.
In addition to the obligations imposed on us by law, the customer must ensure that all administrative requests for the use, marketing, transformation or modification of the delivered equipment or software used are met. LBM Distribution cannot be held liable towards third parties in the event of a breach of regulatory or legislative provisions concerning the use of hardware, software and their licenses.
Limitation of liability:
LBM Distribution shall take the sole decision to repair, replace or refund any defective item and this without LBM Distribution's liability being engaged beyond the repair, replacement or refund of said item.
LBM Distribution shall not be liable for any injury or damage to, loss or destruction of property, damage or expense resulting directly or indirectly from the use, misuse or opening of the products by the customer, either independently or in combination with another product and shall under no circumstances be required to provide replacement products.
Dispute resolution:
This contract is subject to French law. Any dispute of any nature whatsoever, under these general terms and conditions of sale, shall be the exclusive competence of the Commercial Court of Lorient (56100).
